1. Lindsey's never really considered Giles to be much of a power or threat in his own right - even now he's largely humoring him. The only reason he's bothering with him at all is that he sees Giles as the only one that can talk Faith round on the subject of killing Nate.
2. Giles knows that Faith isn't going to react well to the idea, but believes that he can convince her.
3. The answer to getting what they're after is far more simple than either of them realize. Where this is set in Ties That Bind 'verse canon, if either of them were to take their proposal directly to Nate odds are he'd agree wholeheartedly.
And take over masterminding how to do it.
